Intellectual Property Policy

1. IP Protection Commitment

GoNexel recognises the critical importance of intellectual property rights in the digital services industry. This Intellectual Property Policy establishes clear guidelines regarding ownership, licensing, protection, and enforcement of IP created through our services.

2. Tiered Ownership Model

2.1 Basic Project Terms

• Ownership: GoNexel retains full ownership of all custom code and designs
• Client Licence: Perpetual, non-exclusive licence for internal business use only
• Restrictions: Client may not sublicense, transfer, resell, or redistribute
• Modifications: Client may modify code for internal use only

2.2 Custom / Premium Project Terms

• Ownership: Client owns all custom code and designs upon payment of premium fees
• Transfer: Ownership formally transferred upon project completion and full payment
• Documentation: Transfer documented in writing with both parties' signatures
• Rights: Client has full rights to modify, use, distribute, and sublicense

2.3 Hybrid Project Terms

Ownership determined on a case-by-case basis, clearly specified in the Statement of Work. Subject to negotiation. All ownership rights are explicitly defined before the project begins.

3. Templates, Frameworks & Pre-Built Tools

• Ownership: GoNexel retains ownership of all templates, frameworks, UI components, and libraries
• Reusability: These assets are proprietary and may be used across multiple client projects
• Client Licence: Perpetual, non-exclusive licence limited to the client's project
• Restrictions: Client may not resell, redistribute, or sublicense template assets
• Updates: Clients receive template updates automatically; backward compatibility maintained

4. Client Content & Materials

4.1 Ownership

The Client retains full ownership of all content provided to GoNexel — text, images, videos, documents, and data. The Client is responsible for the legality, accuracy, and appropriateness of all content submitted.

4.2 GoNexel's Use of Client Content

• Project Delivery: GoNexel uses client content solely for project delivery
• Duration: Limited to the project duration plus 90 days for support purposes
• Confidentiality: All client content is treated as confidential

4.3 Portfolio & Case Studies

• GoNexel may feature completed projects in our portfolio (with client permission)
• Clients can opt out at any time by notifying GoNexel in writing
• Sensitive or confidential projects are excluded unless the Client explicitly permits inclusion
• Projects can be anonymised upon the Client's request

5. Third-Party Intellectual Property

• Licensed Assets: GoNexel uses only properly licensed third-party assets (libraries, fonts, icons, plugins, frameworks)
• Documentation: Licence information is provided with all deliverables
• Client Compliance: Clients agree to comply with all third-party licence terms and provide required attribution
• Licence Fees: Any third-party licence fees are the Client's responsibility

6. Attribution & Branding Requirements

6.1 Mandatory Attribution

• Requirement: All deliverables must include GoNexel attribution
• Format: "Designed by GoNexel" or "Developed by GoNexel"
• Placement: Footer, about page, app credits, or HTML meta tags
• Visibility: Must be reasonably visible and accessible

6.2 Attribution Removal

• Requires written permission from GoNexel
• May incur additional fees
• Submit request to info@gonexel.com

7. Resale & Redistribution Restrictions

Consequences of Violation

• Immediate Termination: Service terminated without notice or refund
• Legal Action: Pursuit of legal remedies and compensatory damages
• Injunctive Relief: Court orders to stop violations
• Financial Penalties: Recovery of damages, legal fees, and court costs

8. Open-Source Software

• GoNexel fully complies with all open-source licence terms
• Open-source components are documented in project deliverables
• Client is responsible for ongoing licence compliance
• Client indemnifies GoNexel against licence violations arising from Client modifications

9. Copyright & Authorship

• Basic Projects: GoNexel retains copyright; copyright notices included in code
• Premium Projects: Client obtains copyright ownership upon full payment
• Authorship: GoNexel credited as author/developer in all deliverables
• Moral Rights: GoNexel retains moral rights to work as permitted under Indian Copyright Act, 1957

10. Infringement Claims & Indemnification

10.1 IP Infringement Claims

If the Client becomes aware of any IP infringement claim, they must notify GoNexel within 5 business days. GoNexel controls the defence strategy. The Client must cooperate fully in the defence process.

10.2 GoNexel's Indemnification

GoNexel indemnifies the Client for IP infringement claims arising from GoNexel-created work, subject to the following exclusions: third-party content, client modifications, and client-provided materials.

10.3 Client's Indemnification

The Client indemnifies GoNexel for claims arising from client-provided content. The Client is responsible for the legality and non-infringing nature of all content submitted.

11. IP Dispute Resolution

1. Written Notice: Notify GoNexel of the IP dispute in writing
2. Investigation: GoNexel investigates the claim
3. Negotiation: Parties attempt direct resolution
4. Mediation: If unresolved, proceed to neutral mediation
5. Binding Arbitration: If mediation fails, binding arbitration under the Indian Arbitration and Conciliation Act, 1996

Governing Law: Indian Copyright Act, 1957 and Patent Act, 1970. Courts in Maharashtra have exclusive jurisdiction.

12. Contact & IP Inquiries
